Late Payment Interest: The Client shall pay interest on undisputed late invoices at the lesser of 1.5% per month or the maximum rate permitted by law.

Change Orders

All changes to scope, schedule or budget must be documented by a written Change Order signed by authorized representatives of both Parties. No obligation to perform Change Order work shall exist until such Change Order is signed.

Confidentiality, IP & Liability

Confidentiality: Each Party shall keep confidential and not disclose to third parties Confidential Information disclosed by the other Party, except as necessary to perform the scope of work or as required by law. Confidential Information does not include information that is publicly available through no fault of the receiving Party.

Intellectual Property: Unless otherwise agreed in writing, the Service Provider assigns to the Client all deliverable-specific work product created under this Blueprint upon full payment. Service Provider retains ownership of pre-existing tools, methodologies and templates; to the extent such materials are embedded in Deliverables, Service Provider grants a perpetual, non-exclusive license to the Client.

Limitation of Liability: Except for liability arising from wilful misconduct or gross negligence, each Party's aggregate liability for claims under this Blueprint shall not exceed the amount paid by the Client to the Service Provider under this Blueprint.

Indemnification: Each Party agrees to indemnify the other for third-party claims arising from that Party's breach of this Blueprint, negligence or willful misconduct, subject to the limitations set forth above.

Termination

Termination for Cause: Either Party may terminate for material breach if the breaching Party fails to cure within thirty (30) days of written notice. Termination for Convenience: The Client may terminate for convenience upon thirty (30) days' prior written notice; the Service Provider shall be compensated for work performed and reasonable ramp-down costs.

Governing Law & Dispute Resolution

Governing Law: This Blueprint shall be governed by the laws of the State of without regard to its conflicts of law principles.

Dispute Resolution: The Parties shall attempt to resolve disputes promptly through escalation to senior executives. If unresolved within forty-five (45) days, disputes may be submitted to binding arbitration per the Parties' agreement, or to a court of competent jurisdiction as specified by applicable law.
