What the Project Management Builders Contract Is

The Project Management Builders Contract is a written agreement that sets terms for project oversight, scheduling, scope, payments, and responsibilities between an owner and a builder or project manager. It documents deliverables, milestones, change-order procedures, inspection and acceptance criteria, payment schedule, insurance and indemnity provisions, and dispute-resolution methods. Used in construction and renovation projects, the contract clarifies roles for subcontractors, procurement, and inspections to reduce miscommunication and provide a basis for remedies if performance or payment issues arise.

Why a Clear Contract Matters for Project Success

A well-drafted Project Management Builders Contract allocates risk, fixes expectations, and creates enforceable obligations that reduce schedule slippage, disputes, and cost overruns.

Why a Clear Contract Matters for Project Success

Who Typically Prepares and Signs This Contract

Each signer should have authority to bind their organization and understand payment, change-order, and termination clauses before executing the agreement.

  • Project owners and developers who require schedule, budget, and quality guarantees.
  • General contractors and construction managers who accept responsibility for on-site coordination and subcontractor performance.
  • Lenders, sureties, and construction counsel who review contract terms and security provisions.

Step-by-Step: Filling Out the Contract

Follow a consistent sequence to reduce rework and ensure completeness before execution.

  • 01
Gather documents: Collect plans, specs, and insurance certificates first.
  • 02
Fill parties: Enter legal names and contact information accurately.
  • 03
Specify scope: Attach exhibits that clearly describe deliverables and exclusions.
  • 04
Finalize signatures: Confirm authority, sign, and date all signature blocks.

Typical Contract Workflow from Draft to Closeout

A predictable workflow helps track approvals, payments, inspections, and final acceptance for construction projects.

  • Draft: Prepare contract with exhibits and schedules attached.
  • Review: Stakeholders and counsel review and propose edits.
  • Execute: Authorized signers sign and date agreement.
  • Manage: Use contract to govern change orders, payments, and closeout.

How to Configure a Digital Signing Workflow

Set up roles, fields, and authentication to match who needs to sign and review.

Field Configuration
Signer order Sequential or parallel as required by approvals
Authentication Email or SMS code; consider KBA for higher assurance
Required fields Mark signature, date, and initials mandatory
Audit settings Enable audit trail and certificate of completion

Digital Signing and eSubmission Considerations

Ensure the chosen workflow captures timestamps, signer attribution, and a tamper-evident audit trail to support enforceability and disputes.

  • File formats: PDF and DOCX are standard for contract exhibits
  • Integrations: Connect to project management or storage systems
  • Authentication: Support email, SMS, or advanced options for higher assurance

Missing insurance: Increases exposure to third-party liability claims
Improper signatory: Can render the contract unenforceable
No change-order control: Allows unauthorized work and cost escalation
Inadequate dispute clause: Raises litigation risk and increases resolution costs

Frequent Preparation Pitfalls to Avoid

  • Failing to attach plans and specs, which leads to scope disputes and rework
  • Using informal emails as contract amendments without executing written change orders
