PROJECT MANAGEMENT BUILDING CONTRACT

Project Identification

This Project Management Building Contract (the "Agreement") is entered into effective as of (the "Effective Date"), by and between the Client named above and the Service Provider named above. The parties agree as follows:

Scope of Work

The Service Provider shall perform project management, coordination, and oversight services for the building project identified above in accordance with accepted industry standards and the specific responsibilities listed below.

The Client shall pay the Service Provider the amounts and in the manner described below. All fees are exclusive of applicable taxes unless specified otherwise.

Change Order Process

Any change to scope, price, or schedule shall be implemented only by a written Change Order signed by authorized representatives of both parties. The Change Order must specify additional cost, schedule impact, and changes to acceptance criteria.

Insurance, Indemnity and Liability

The Service Provider shall maintain insurance with minimum coverages customary for building projects and shall indemnify and hold harmless the Client from claims arising out of the Service Provider's negligent performance, except to the extent caused by Client's acts or omissions.

Confidentiality

Each party shall keep confidential all Proprietary Information disclosed by the other party in connection with this Agreement and shall not disclose such information except to employees, consultants, and subcontractors who have a need to know and who are bound by similar confidentiality obligations.

Intellectual Property

Unless otherwise agreed in a written exhibit, intellectual property developed exclusively for the Client in performance of this Agreement shall be assigned to the Client upon full payment. Pre-existing tools, templates, and methodologies of the Service Provider remain the Service Provider's proprietary property.

Warranties, Acceptance and Remedies

The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Defects discovered within the warranty period shall be corrected at no additional cost. Client remedies for uncured material breaches include termination and pursuit of damages as provided in this Agreement.

Termination

Either party may terminate this Agreement upon written notice if the other party materially breaches and fails to cure within thirty (30) days after receipt of written notice specifying the breach. Termination for convenience by the Client requires payment for services performed and reasonable demobilization costs.

Dispute Resolution and Governing Law

The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to mediation, and if mediation fails, to binding arbitration under commercially reasonable arbitration rules. This Agreement is governed by the laws of the state identified below without regard to conflict of law principles.

Force Majeure and Miscellaneous

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including but not limited to acts of God, strikes, government actions, or pandemics. This Agreement constitutes the entire agreement between the parties and supersedes prior discussions; amendments must be in writing and signed by authorized representatives.
