Insurance, Indemnity, and Liability

The Service Provider shall maintain general liability, workers' compensation, and other insurance customary for the type and scale of the work. The Service Provider agrees to indemnify and hold the Client harmless from claims arising from Provider's negligent performance, subject to the limitations described below.

Termination

Either party may terminate this agreement for material breach if the breaching party fails to cure within a reasonable cure period after written notice. Termination for convenience by the Client requires written notice and payment for work performed and committed costs incurred prior to termination.

Governing Law and Dispute Resolution

This agreement shall be governed by the laws of the jurisdiction specified below without regard to conflict of laws principles. Parties shall attempt to resolve disputes promptly through good-faith negotiation. If unresolved, disputes will be resolved by the forum indicated below.

Representations, Warranties and Certifications

Each party represents and warrants that it has full power and authority to enter this agreement, and that the signatory executing this agreement is duly authorized to bind the party. Provider warrants that services will be performed in a professional and workmanlike manner for a period defined below.

Other Provisions

This document, together with any executed Change Orders and attachments incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements.
