Project Identification

Recitals

WHEREAS, Client desires to engage Service Provider to perform management, coordination, and delivery of a campaign as described below; and WHEREAS, Service Provider has the requisite experience, personnel and capability to perform the services; now, therefore, the parties agree as follows.

Scope of Work

Service Provider will provide project management, planning, coordination, vendor management, reporting, and related services necessary to execute the campaign. Specific tasks, responsibilities, and deliverables are set forth below. Any work not expressly described in this Section is out of scope unless agreed in writing pursuant to the Change Order Process.

Deliverables and Acceptance Criteria

The Service Provider will deliver the following items to Client for review and acceptance. Each deliverable shall include the acceptance criteria stated below. Acceptance shall be conducted in accordance with the Acceptance Procedures set forth herein.

Client agrees to pay Service Provider the fees set forth below in consideration for the services and deliverables.

Change Order Process

Any change to the Scope of Work that affects schedule, cost, or resources must be documented in a written Change Order signed by both parties. No change shall be billable unless authorized in accordance with this Section.

Service Provider shall obtain Client's written approval for all Change Orders that increase cost or extend schedule.

Confidentiality

For purposes of this Agreement, Confidential Information means all non-public information disclosed by one party to the other related to the campaign, business plans, data, and materials. Receiving party shall (a) use Confidential Information solely for performance of this Agreement; (b) restrict disclosure to persons having a need to know; and (c) maintain reasonable safeguards. Confidential Information does not include information that is publicly known through no breach by receiving party, independently developed without use of Confidential Information, or rightfully received from a third party without restriction.

Upon termination or written request, receiving party shall return or destroy Confidential Information and certify such destruction in writing if requested. Remedies for breach include injunctive relief in addition to monetary damages.

Intellectual Property

Unless otherwise agreed in writing, Service Provider grants to Client a perpetual, irrevocable, worldwide, royalty‑free license to use, reproduce, and modify delivered final work products for Client's internal and external campaign purposes. Service Provider represents that deliverables will not infringe third‑party rights and will assign to Client all right, title and interest in work products identified as Assignable Deliverables.

Service Provider assigns all assignable intellectual property rights in deliverables to Client upon final payment.

Representations, Liability and Indemnity

Each party represents that it has the authority to enter into this Agreement. Service Provider shall perform services in a professional manner consistent with industry standards. Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages. Client shall indemnify and hold harmless Service Provider from liabilities arising from Client materials or specifications. Service Provider shall indemnify Client for third‑party claims arising from Service Provider's willful infringement of intellectual property.

Termination

Either party may terminate this Agreement upon thirty (30) days' written notice for material breach if the breach remains uncured. Upon termination, Client shall pay Service Provider for services performed and non‑cancellable commitments incurred through the termination date. Provisions that by their nature survive termination, including Confidentiality, Intellectual Property, and Indemnification, shall survive.

Force Majeure

Neither party shall be liable for delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, strikes, or failure of suppliers. The affected party shall promptly notify the other and use reasonable efforts to resume performance.

Acceptance Procedures

Client shall have calendar days from delivery of each deliverable to review and either accept in writing or provide a written list of deficiencies. Deliverables not rejected within the acceptance period shall be deemed accepted.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. Parties agree to attempt good faith negotiation to resolve disputes and may pursue injunctive relief or other equitable remedies as appropriate.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth in this Agreement via hand delivery, courier, or certified mail, return receipt requested, or by email with confirmation of receipt where provided below.

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes prior discussions. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, remaining provisions shall remain in force.
