Existing Conditions and Site Access

The Service Provider has inspected the site and records the following conditions; these affect material quantities, handling and installation method. The Client certifies that the Service Provider was granted reasonable access to measure and inspect the areas noted below.

Deliverables and Acceptance Criteria

Costs below reflect material estimates derived from measured quantities. Final invoicing will reflect actual material ordered and any authorized changes. All amounts are exclusive of applicable taxes unless stated otherwise.

Change Order Procedure

Any change to measured quantities, scope, materials or schedule requires written Change Order signed by both parties. Change Orders will include a clear description of the change, adjusted cost, and schedule impact. Work performed without an executed Change Order may be billed as extra and is subject to the rates specified below.

Confidentiality

Each party shall keep confidential all measurement plans, material lists, pricing and other non-public information disclosed in connection with this Project. Confidential information shall not be disclosed to third parties except as required for performance or by law. This obligation survives completion of the Project for a period of three years.

Warranties, Liability and Indemnity

Service Provider warrants that measurements are performed in a professional manner and that deliverables are prepared using industry standard measuring practices. Service Provider does not warrant final product performance of materials. Liability for measurement errors shall be limited to correction of the measurement and reasonable remediation directly resulting from an error; in no event shall either party be liable for consequential damages. Client agrees to indemnify Service Provider for claims arising from undisclosed site hazards, hazardous materials or misrepresentations of site conditions.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state identified below. Any dispute relating to measurement interpretation, deliverables or fees shall be submitted first to non-binding mediation. If mediation fails, either party may pursue remedies in a court of competent jurisdiction within the governing state.
