Invoicing Terms: Invoices will be submitted in accordance with the payment schedule. Client shall pay undisputed amounts within days of receipt. Disputed items must be stated in writing within 14 days.

All changes to the Scope of Work, schedule, or price must be authorized in writing by Client and Service Provider through a Change Order. No verbal directives will constitute a change. Change Orders will specify scope changes, schedule adjustments, the equitable change in price, and revised acceptance criteria.

Liability, Insurance, and Warranties

Liability: Service Provider's liability for claims arising from performance of services under this Proposal shall be limited to the amount of fees paid for the specific services giving rise to the claim, except for willful misconduct or gross negligence. Each party shall maintain insurance consistent with customary industry standards.

Warranties: Service Provider warrants that services will be performed in a professional manner in accordance with generally accepted industry practices. No other warranties, express or implied, are made.

Confidentiality

Each party shall maintain as confidential all non-public information disclosed by the other party in connection with this Proposal. Confidential information shall not be disclosed except as required by law or to employees and consultants who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein.

Termination

Either party may terminate this Proposal for convenience upon 14 days' written notice. In the event of termination, Client shall pay Service Provider for services performed and approved expenses incurred through the effective date of termination, including reasonable close-out costs.

Governing Law and Dispute Resolution

This Proposal and any resulting agreement shall be governed by the laws of the state specified by Client in writing. Disputes arising under this Proposal shall be referred first to the parties' project managers for good faith negotiation. If unresolved, disputes shall be resolved by arbitration or litigation as agreed in a subsequent executed agreement.
