Invoices are payable within days of receipt. Late payments incur interest at the lesser of 1.5% per month or the maximum permitted by law.

Change Order Process

Any change in scope, schedule, fees or deliverables shall be documented by a written Change Order signed by authorized representatives of both parties prior to commencement of work affected by the change. The Change Order shall describe the change, impact on schedule, and adjustment to fees.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall use such information solely for the performance of this Agreement. Confidential Information shall not include information that is or becomes generally available to the public other than by breach of this Agreement, or is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, the parties agree that deliverables created specifically for the Client under this Agreement shall be assigned to the Client upon full payment. The Service Provider retains ownership of pre-existing tools, methodologies and general know-how; the Client receives only a non-exclusive license to use such items as embedded in the deliverables.

Warranties, Liability and Indemnity

The Service Provider warrants that services will be performed with reasonable skill and care. EXCEPT AS EXPRESSLY SET FORTH, THERE ARE NO OTHER WARRANTIES. Liability of each party for direct damages arising from this Agreement is limited to the total fees paid under this Agreement in the twelve months preceding the claim. Neither party shall be liable for indirect or consequential damages. Each party shall indemnify the other for third-party claims arising from its breach or negligent acts.

Termination

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice. Either party may terminate for convenience upon providing days' written notice. On termination, the Client shall pay for work performed and documented expenses through the termination effective date.

Insurance

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to conflict of laws principles. Disputes shall first be referred to senior representatives for good faith negotiation; if unresolved, disputes shall be resolved by the mutually agreed procedure specified here:

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, recognized courier, or certified mail to the address of the receiving party.

Miscellaneous

Relationship: The Service Provider is an independent contractor and nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. Subcontracting is permitted with prior written notice to the Client but the Service Provider remains responsible for performance. Force Majeure: neither party shall be liable for delay caused by events beyond its reasonable control.
