Change Order Process

Any modification to scope, schedule, or price shall be documented in a written change order signed by authorized representatives of both parties. The following thresholds and approval routing apply:

Acceptance Testing & Warranty

Acceptance testing procedures will be executed in accordance with the stated acceptance criteria for each deliverable. Unless otherwise stated, the Service Provider warrants that deliverables will conform to the acceptance criteria for a period of ninety (90) days following final acceptance. Remedies for breach of warranty shall be limited to re-performance or correction at the Service Provider's expense.

Confidentiality

Each party shall maintain the confidentiality of the other party's confidential information disclosed in connection with this Agreement and shall not disclose such information except as required by law. Confidential information does not include information that is publicly known other than by breach of this Agreement or already lawfully in a party's possession prior to disclosure.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants the Client a perpetual, worldwide, non-exclusive license to use deliverables for the Client's internal climate technology operations. Pre-existing Provider tools, methodologies, and general know-how remain Provider's sole property.

Liability, Indemnification & Insurance

Each party's total liability arising under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement, except for liability arising from gross negligence, willful misconduct, or breach of intellectual property or confidentiality obligations. Service Provider shall indemnify and hold Client harmless from third-party claims arising from Service Provider's gross negligence or breach of specified warranty. Service Provider shall maintain commercially reasonable insurance coverage appropriate to the services provided.

Termination

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice. Upon termination Client shall pay for all work performed and accepted through the effective termination date, plus any non-cancellable commitments.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of without regard to its conflicts of law principles. The parties agree to negotiate in good faith to resolve disputes and, if unresolved, to submit disputes to binding arbitration before a neutral forum unless otherwise mutually agreed in writing.
