Change Orders

All alterations to scope, schedule or budget shall be effected only by a written change order executed by authorized representatives of both parties. Change orders shall describe the additional services, schedule impact, and fee adjustment. Hourly rate for additional coaching beyond scope:

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement, was known prior to disclosure, or is independently developed.

Intellectual Property

Provider retains ownership of methodologies, tools, templates and pre-existing materials. Subject to full payment of all fees due, Provider grants Client a non-exclusive, non-transferable license to use deliverables for Client's internal purposes. Any custom deliverable expressly identified for assignment shall be transferred to Client upon receipt of final payment.

Liability, Indemnity and Insurance

Each party shall indemnify, defend and hold harmless the other party from claims arising out of its gross negligence or willful misconduct. Provider's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid under this Agreement in the six (6) months preceding the claim. Neither party shall be liable for incidental, consequential, special or punitive damages.

Termination

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to termination. Termination for cause may be effected immediately upon written notice if the other party materially breaches this Agreement and fails to cure within fifteen (15) days after receipt of written notice.

Upon termination, Provider shall invoice Client for all services performed through the effective date of termination and Client shall pay such invoiced amounts in accordance with the payment provisions herein.

Dispute Resolution and Governing Law

The parties shall first attempt to resolve disputes in good faith through negotiation between executive representatives. If unresolved, the dispute shall be submitted to binding arbitration administered in accordance with the parties' agreement. Governing law for any dispute shall be the laws of the State of , without regard to conflict of laws principles.

Relationship of Parties

Provider is an independent contractor and not an employee, partner or agent of Client. Provider shall be solely responsible for all taxes, withholdings and other statutory obligations arising from fees paid under this Agreement.

Amendments and Notices

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing.

Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain effective. Headings are for convenience only and do not affect interpretation. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.
