Warranties, Insurance, and Indemnity

WARRANTY: Service Provider warrants workmanship for a period of from date of accepted completion. Warranty covers defects in workmanship under normal use and does not cover damage due to subsequent impact, misuse, or exposure to chemicals not specified in materials.

INSURANCE: Service Provider shall maintain general liability and workers' compensation insurance in amounts customary for the trade. Certificates of insurance shall be provided upon request by Client prior to mobilization.

INDEMNITY: Each party shall indemnify and hold harmless the other from claims arising from its own negligent acts or omissions in performing obligations under this form, except to the extent caused by the other party's negligence or willful misconduct. Liability of Service Provider for direct damages is limited to the total contract price.

Acceptance, Tests, and Final Completion

Client shall inspect the completed work within of completion notification. If the work meets the agreed acceptance criteria, Client shall provide written acceptance. If defects are identified, Service Provider shall correct defects at no additional cost provided they are covered by the warranty.

Confidentiality

Each party shall keep confidential all non-public information exchanged in connection with this project and shall not disclose such information except to employees, subcontractors, or advisors who have a need to know and who are bound to confidentiality obligations at least as protective as those set forth herein. This obligation survives termination of this form for a period of two (2) years.

Governing Law and Dispute Resolution

This form and any dispute arising out of or relating to it shall be governed by the laws of the state of without regard to conflict of law principles. Parties shall first attempt good faith negotiation followed by mediation before initiating litigation.
