Insurance, Indemnity & Liability

Service Provider shall maintain insurance customary for construction management services, including commercial general liability, workers' compensation, and professional liability where applicable. Service Provider shall indemnify and hold Client harmless from claims arising from Service Provider's negligence, to the extent permitted by law. Neither party shall be liable for consequential damages except for damages arising from gross negligence or willful misconduct.

Compliance, Safety & Subcontracting

Service Provider shall comply with all applicable laws, codes, and regulations and shall maintain a safe worksite. Service Provider is permitted to subcontract work with prior written notice to Client; Service Provider remains responsible for subcontractor performance.

Confidentiality

Each party shall hold confidential all proprietary information disclosed for the performance of this engagement and shall not disclose such information except to employees, consultants, or subcontractors who have a need to know and are bound to similar confidentiality obligations. Confidentiality obligations survive termination of this agreement for a period of three years.

Termination

Either party may terminate for material breach that is not cured within 15 days of written notice. Upon termination, Client will pay Service Provider for work performed and documented costs reasonably incurred up to the effective termination date, subject to set-off for damages resulting from breach.
