The Service Provider shall maintain a safe work environment, comply with all applicable laws and regulations, secure required permits, and coordinate inspections as part of the Work. The Service Provider shall immediately notify the Client of any contraventions, stop-work orders, or hazards that materially affect schedule or cost.

Confidentiality & Data Handling

Each Party shall maintain in confidence all proprietary information disclosed by the other Party in connection with this Project and shall not disclose such information except to employees, subcontractors, or advisers on a need-to-know basis and subject to confidentiality obligations at least as protective as those set forth herein. Confidential information shall not include information that is or becomes public through no fault of the receiving Party.

Representations, Warranties & Indemnity

The Service Provider represents that it has the experience, personnel, and licenses required to perform the Work. The Service Provider warrants that workmanship will be free from material defects for a period of one year from acceptance unless otherwise specified. Each Party shall indemnify and hold harmless the other against third-party claims arising from the indemnifying Party's negligence, willful misconduct, or breach of this Packet.

Liens & Insurance

The Service Provider shall be responsible for payment of its subcontractors and suppliers and shall keep the project free from liens. The Service Provider shall maintain insurance coverage customary for the scope and size of the Work and shall provide certificates of insurance upon request.

Governing Law & Dispute Resolution

This Packet shall be governed by and construed in accordance with the laws of the jurisdiction where the Project Site is located. The Parties agree to attempt good-faith negotiations to resolve disputes prior to initiating litigation; remedies shall be limited to those awarded by a court of competent jurisdiction unless otherwise agreed in writing.
