Insurance, Liability and Warranties

The Service Provider shall maintain insurance customary for the work, including commercial general liability and workers' compensation as required by law. The Service Provider warrants that labor and materials furnished shall be free from defects for a period of one year from final acceptance, unless otherwise stated in writing. Liability of the Service Provider for direct damages shall be limited to the greater of the total contract sum or proven direct damages; neither party shall be liable for incidental or consequential damages except in cases of gross negligence or willful misconduct.

Delays and Force Majeure

Neither party shall be liable for delays due to causes beyond its reasonable control, such as acts of God, strikes, governmental actions, or severe weather. Affected performance times shall be extended for a period commensurate with the duration of the force majeure event; the affected party shall provide prompt written notice of such event and reasonable supporting information.

Confidentiality

All non-public information exchanged in connection with this Proposal shall be treated as confidential by the receiving party and shall not be disclosed to third parties except to employees, consultants or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those contained herein. Confidential information does not include information that is or becomes generally known to the public other than by a breach of this clause.

This Proposal and any resulting contract shall be governed by the laws of the governing jurisdiction selected by the parties below. The parties shall first attempt to resolve disputes through negotiation between senior representatives; if unresolved, the parties agree to submit disputes to binding arbitration administered in accordance with the rules agreed in the final contract, unless the parties mutually agree otherwise in writing.

By signing below, Client accepts this Proposal in its entirety and authorizes the Service Provider to proceed with the work as described. Acceptance of this Proposal constitutes a binding agreement subject to the terms set forth herein.
