PROJECT MANAGEMENT CONSTRUCTION SERVICES

Project Identification

Effective Date: . This Project Management Construction Services Agreement (the "Agreement") sets forth the scope, deliverables, timeline, compensation and governing terms under which the Service Provider will perform project management and construction coordination services for the Client identified above.

Scope of Work

The Service Provider shall perform professional project management and construction administration services as described below. Services include planning, contractor coordination, schedule management, cost monitoring, quality assurance, on-site inspections, meeting facilitation, submittal and RFI management, and closeout coordination.

Deliverables & Acceptance Criteria

The Service Provider will produce the following deliverables. Each deliverable will be deemed accepted upon Client's written acceptance or, if Client fails to provide written rejection within ten (10) business days after delivery, acceptance will be deemed granted.

Timeline & Milestones

Budget & Payment

Compensation for the Services shall be as follows. Client shall pay the Service Provider in accordance with the payment schedule below. All fees are exclusive of applicable taxes unless otherwise specified.

Change Order Procedure

Any change in scope, schedule or cost shall be implemented only by a written Change Order signed by an authorized representative of both parties. No verbal change shall be binding. The Change Order shall state the scope change, the effect on schedule, and any adjustment to compensation.

Confidentiality

Each party shall maintain in confidence all proprietary or confidential information received from the other party in connection with the Services and shall not disclose such information except to permitted personnel or as required by law. Confidential information does not include information that is or becomes publicly known through no breach by the receiving party or is rightfully received from a third party without restriction.

Insurance & Bonding

The Service Provider shall maintain insurance appropriate for project management and construction administration services, including commercial general liability, professional liability, and workers' compensation. Certificates of insurance naming the Client as an additional insured, if required, shall be provided upon request.

Provider to furnish certificate of insurance prior to commencement of Services.

Indemnification & Liability

The Service Provider shall indemnify and hold harmless the Client from claims, liabilities, losses and expenses arising from the negligent acts, errors or omissions of the Service Provider in performing the Services. Notwithstanding the foregoing, neither party shall be liable to the other for consequential, incidental or punitive damages, except for liability arising from gross negligence or willful misconduct.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, strikes, government orders, epidemic or other similar events. The party affected shall provide prompt written notice and shall use commercially reasonable efforts to resume performance.

Termination

This Agreement may be terminated by either party for cause upon material breach if such breach remains uncured for the number of days specified below after written notice. Either party may terminate for convenience upon prior written notice to the other party.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below without regard to conflicts of law principles. The parties shall first attempt to resolve disputes through negotiation; if unresolved, disputes shall be submitted to mediation and, if still unresolved, to binding arbitration or litigation as indicated.

Parties agree to binding arbitration if mediation does not resolve the dispute.

Representations & Warranties

Each party represents that it has the authority to enter into this Agreement and that performance will comply with applicable laws and regulations. The Service Provider warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards.

Notices

Miscellaneous

This Agreement, including any executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior discussions and agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions remain in effect.
