Budget & Payment

Payment shall be made in accordance with the schedule below. Invoices are due within the number of days specified unless otherwise agreed in writing. Late payments will accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Change Orders

Any modification to scope, schedule or fees shall be effected only by a written change order signed by authorized representatives of both parties. Change orders will state the impact on cost, schedule and acceptance criteria. The Service Provider shall not proceed with work beyond the agreed scope until a change order is executed.

Confidentiality

Each party agrees that during the term of this Agreement and for a period of three (3) years thereafter it will hold in confidence and not disclose or use any Confidential Information of the other party except as necessary to perform obligations under this Agreement. Confidential Information does not include information that is publicly known through no breach of this Agreement or rightfully received from a third party.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants Client a nonexclusive, perpetual license to use deliverables for Client’s internal business purposes. The Service Provider retains ownership of pre-existing methodologies, tools, templates and intellectual property. Where third-party software or materials are incorporated, applicable third-party terms will govern use.

Liability, Insurance & Indemnity

Each party’s liability to the other arising from or related to this Agreement shall be limited to direct damages not exceeding the fees paid to the Service Provider under this Agreement during the twelve (12) month period prior to the claim. Neither party shall be liable for consequential, incidental, special or punitive damages. The Service Provider shall maintain commercially reasonable liability insurance and provide evidence of such insurance upon request.

Termination & Notices

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within thirty (30) days after written notice. Upon termination, Client will pay for all work performed and reasonable ramp-down costs incurred through the effective date of termination. Notices required under this Agreement shall be in writing and delivered to the addresses set forth in this document or to updated addresses provided in writing.

Governing Law & Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction set forth below without regard to choice-of-law principles. The parties agree that disputes will be resolved in the competent courts of that jurisdiction unless the parties agree in writing to an alternative dispute resolution mechanism.

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment relationship or agency. Any subcontracting by the Service Provider shall not relieve the Service Provider of its obligations under this Agreement.
