PROJECT MANAGEMENT CONSULTING SERVICES AGREEMENT

Service Provider shall perform professional project management consulting services for the Project as set forth in this Section. Services shall include program governance, schedule management, risk and issue management, stakeholder coordination, weekly status reporting, and delivery management as further described below.

Deliverables and Acceptance Criteria

Service Provider will provide the following deliverables. Each deliverable is subject to Client acceptance testing against the stated acceptance criteria. Acceptance shall be provided in writing and will not be unreasonably withheld.

Fees, Payment and Expenses

The fees for services described in this Agreement shall be as set forth below. All fees are exclusive of applicable taxes unless otherwise indicated.

Invoices shall be submitted in accordance with the Payment Schedule and are due within days of invoice receipt unless otherwise agreed in writing.

Change Order Process

Any change to the scope, schedule or fee shall be documented in a written Change Order and signed by authorized representatives of both parties prior to commencement of the changed work.

Confidentiality

Each party shall maintain the confidentiality of the other party’s Confidential Information and shall not disclose such information except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination for years from disclosure.

Intellectual Property

Except for Pre-Existing Materials of each party, all deliverables specifically developed for Client under this Agreement shall be the property of Client upon full payment of Provider’s fees. Provider shall retain ownership of underlying methodologies, templates and tools, and grants Client a non-exclusive license to use such items solely for Client’s internal purposes in connection with the Project.

Liability and Indemnification

Each party’s liability for direct damages arising out of this Agreement shall be limited to the fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental or punitive damages except to the extent arising from gross negligence or willful misconduct.

Provider agrees to indemnify and hold harmless Client from claims arising out of Provider’s breach of this Agreement or Provider’s negligent acts. Client agrees to indemnify and hold harmless Provider from claims arising from Client’s breach or misuse of deliverables.

Insurance

Provider shall maintain professional liability/errors & omissions insurance and commercial general liability insurance with limits sufficient for the scope of services. Provider shall provide evidence of such insurance upon Client’s request.

Termination

Either party may terminate this Agreement for convenience upon written notice to the other party given days prior to the effective termination date. Upon termination, Client shall pay Provider for all services performed and approved expenses incurred through the termination date.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction identified below without regard to conflict of law principles. The parties will attempt to resolve disputes through good-faith negotiation and, if unsuccessful, through non-binding mediation prior to initiation of litigation.

Relationship of Parties; Miscellaneous

Provider is an independent contractor. Nothing in this Agreement creates an employment, agency or partnership relationship. This Agreement, including any attached Statements of Work and Change Orders, constitutes the entire agreement between the parties and may be amended only by written instrument executed by both parties.
