Recitals and Definitions

This Project Management Consulting Services Agreement (Agreement) is entered into by and between the Client and the Service Provider identified above. The Service Provider will provide project management consulting services (Services) in accordance with the terms and conditions set forth herein.

Definitions: "Deliverables" means the tangible outputs to be delivered to Client under this Agreement. "Acceptance" means Client's written confirmation that Deliverables meet the Acceptance Criteria set forth in Section titled Deliverables and Acceptance Criteria. "Confidential Information" means nonpublic information disclosed in connection with Services and identified as confidential or that reasonably should be understood to be confidential.

Confidentiality

The parties agree to protect Confidential Information disclosed in connection with the Services. Each party shall use Confidential Information solely for performance of this Agreement and not disclose it except to employees, subcontractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Intellectual Property

Unless otherwise agreed in writing, ownership of pre-existing intellectual property remains with the originating party. All Deliverables specifically produced for Client under this Agreement shall be owned by: Client    Service Provider

Warranties, Liability and Indemnification

Service Provider warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING, SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER MAKES NO OTHER WARRANTIES.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, each party's aggregate liability under this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement. Limitation amount: $

Indemnification: Each party shall indemnify, defend, and hold harmless the other party from claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Upon termination, Client will pay Service Provider for Services performed and approved Deliverables through the effective date of termination plus any reasonable, documented wind-down costs.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure the breach within days after receiving written notice.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties will endeavor to resolve disputes in good faith through negotiation prior to pursuing litigation.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest in connection with a merger or sale of substantially all assets.
