What the Project Management Contract Phase Is and Why it Matters

The Project Management Contract Phase is the formal contractual stage where scope, deliverables, schedules, responsibilities, payment terms, change control, and acceptance criteria are documented and agreed by all parties. This phase converts project planning into legally binding obligations that govern execution, manage risk, and define performance metrics. Properly drafted contract-phase documents reduce ambiguity, set escalation and dispute resolution paths, and allocate liability for delays or defects. For many organizations this phase also triggers procurement, insurance, and compliance checks before work begins.

Why a Clear Contract Phase Improves Project Outcomes

A well-structured Project Management Contract Phase aligns stakeholders on scope, cost, schedule, and quality; reduces disputes; and creates enforceable responsibilities. Clear terms make invoicing, approvals, and change orders easier to execute and audit.

Why a Clear Contract Phase Improves Project Outcomes

Who Typically Prepares and Signs the Contract Phase Documents

Signatories usually include the authorized business representative, the contractor or vendor representative, and any required guarantors or funding authorities.

  • Project managers and PMO leads responsible for scope, schedule, and acceptance criteria.
  • Procurement and contracts teams that negotiate payment, warranties, and indemnities.
  • Legal counsel or in-house attorneys who review liability, IP, and dispute clauses.

Primary Signatory Roles and Typical Responsibilities

Authorized Representative

Chief contract signatory (title: CEO, CFO, VP of Contracts) who has corporate authority to bind the organization and approve financial terms; ensures contract aligns with procurement policy and budget.

Project Lead / Contractor

Operational signatory (title: Project Manager, Director of Services) who accepts scope, milestones, and deliverables; responsible for execution, reporting, and coordination with subcontractors or suppliers.

Core Sections to Include in a Project Management Contract Phase

A professional contract-phase document contains standard sections that make obligations clear, measurable, and enforceable across the project lifecycle.

Scope of Work

Define services, tasks, deliverables, and acceptance criteria in measurable terms; attach schedules, specifications, and exhibits to avoid ambiguity and scope creep.

Schedule & Milestones

List key dates, milestone acceptance tests, and dependencies; include liquidated damages or remedies for missed critical-path milestones when appropriate.

Payment Terms

Specify fees, invoicing cadence, retainage, milestone-based payments, and conditions for withholding payments due to defects or nonperformance.

Change Control

Describe the process to request, price, and approve changes including documentation, response times, and authority levels for approvals.

Warranties & Remedies

State warranty periods, correction obligations, and remedies such as repair, replacement, or price reductions for defective deliverables.

Risk Allocation

Include indemnities, insurance requirements, limitation of liability, force majeure, and dispute resolution procedures such as mediation or arbitration.

Step-by-Step: Completing the Contract Phase Document

Follow these sequential steps to prepare, review, and finalize the contract-phase agreement with minimal rework.

  • 01
Draft Core Terms: Populate scope, schedule, payment, and change control sections.
  • 02
Internal Review: Routing to legal, procurement, and finance for approval.
  • 03
Negotiate Revisions: Track changes, confirm concessions, and update exhibits.
  • 04
Execute and Archive: Collect signatures, distribute copies, and store originals securely.

How to Configure an Online Contract Phase Workflow

Set up a consistent digital workflow to reduce signer friction and ensure auditability.

Field Configuration
Signer Order Sequential or parallel routing per approval matrix
Authentication Email link, SMS code, or stronger KBA where required
Conditional Fields Show or hide sections based on role or selection
Audit Trail Capture timestamps, IPs, and signer actions automatically

Where to Send and How Documents Move After Signing

Understand routing and final destinations to ensure compliance and recordkeeping.

  • Contract Repository: Store executed copies in a centralized contract management system.
  • Finance / AP: Send executed contract to accounts payable for invoicing setup.
  • Project Team: Distribute relevant exhibits and acceptance criteria to delivery teams.
  • Legal Archive: Retain signed originals and redlines for audit and dispute defense.

Technical and Compliance Considerations for eSigning

Ensure the provider can meet retention, access control, and any industry-specific security requirements before finalizing the workflow.

  • Document Formats: PDF, DOCX, and fillable forms supported
  • Integrations: Works with common CRMs and cloud storage
  • Compliance: Supports ESIGN, UETA, and enterprise controls

Key Contract Phase Deadlines and Timing Expectations

Standard contract-phase timelines include execution, milestone start dates, acceptance windows, and notice periods that affect payments and remedies.

Execution Deadline:

Agree on effective date and sign by the specified contract execution deadline.

Milestone Starts:

Begin work within agreed days after effective date or specified kickoff.

Acceptance Window:

Define how many days reviewers have to accept or reject deliverables.

Change Order Response:

Set maximum days for pricing and approval of change requests.

Invoice Submission:

Specify when invoices are due after milestone acceptance (e.g., Net 30).

Major Project Milestones During the Contract Phase

A clear milestone sequence helps teams track progress and link payments to verified deliverables.

01

Kickoff

Contract executed and kickoff meeting scheduled.

02

Design Approval

Design deliverables reviewed and accepted by stakeholders.

03

Implementation

Work performed against agreed milestone schedule.

04

Final Acceptance

Formal acceptance, final payment, and warranty period begins.

Common Mistakes That Delay Contract Phase Completion

  • Vague scope language that leads to differing expectations and repeated amendments.
  • Missing authorization or incorrect signatory authority, which can invalidate the agreement.
  • Unclear acceptance criteria that leave deliverables open to subjective dispute.
  • Failure to include change control processes, producing unmanaged scope growth and cost overruns.

Risks and Penalties from Incorrect or Incomplete Contract Phases

Payment Disputes: Delayed or withheld payments
Liability Exposure: Broader indemnity or warranty obligations
Contract Invalidity: Enforceability issues from missing authority
Change Order Costs: Unplanned budget increases
Regulatory Breach: Noncompliance with industry rules
Litigation Risk: Increased legal fees and damages
