Change Order Process

Any change to the scope, schedule, deliverables, or price shall be made only by a written Change Order signed by authorized representatives of both parties. The Change Order shall set forth the change, the impact on schedule, and any adjustments to compensation.

Confidentiality

Each party shall hold in confidence all confidential information disclosed by the other party and shall not use such information except to perform obligations under this Agreement. Confidential information excludes information that is or becomes publicly available through no breach, already known to the receiving party, or independently developed.

Intellectual Property

Unless otherwise agreed in writing, all Work Product created exclusively for the Client under this Agreement shall be assigned to the Client upon full payment. Service Provider retains ownership of pre-existing materials, tools, and methodologies used to produce the Work Product.

Warranties, Indemnity & Liability

The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Each party agrees to indemnify, defend, and hold the other harmless from third-party claims arising from the indemnifying party's breach, negligence, or willful misconduct.

Insurance

Service Provider shall maintain commercial general liability insurance, professional liability (errors and omissions) insurance, and workers' compensation as required by applicable law. Proof of insurance shall be provided upon request.

Subcontracting

Service Provider may engage subcontractors to perform portions of the services, provided that Service Provider remains responsible for the performance of its subcontractors. Subcontracting that materially alters scope or cost requires prior written approval from the Client.

Termination

Either party may terminate this Agreement for material breach after thirty (30) days' written notice if the breach is not cured within that period. Client may terminate for convenience upon thirty (30) days' written notice; in such event Client will pay for work performed and reasonable wind-down costs.

The parties shall seek in good faith to resolve disputes promptly by negotiation. If unresolved within sixty (60) days, disputes shall be resolved by binding arbitration conducted by a neutral arbitrator in the state designated below, and judgment on the award may be entered in any court of competent jurisdiction.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals and communications. No amendment is effective unless in writing and signed by authorized representatives of both parties.
