What the Project Management Contractors Addendum Is

The Project Management Contractors Addendum is a supplemental contractual document used to record project-specific terms, responsibilities, and scope changes between a hiring entity and independent contractors engaged in project management activities. It clarifies deliverables, schedules, payment milestones, insurance and indemnity allocations, intellectual property assignments, and subcontracting permissions. The addendum typically attaches to a master services agreement or contractor agreement and becomes binding when executed by authorized signatories. It helps ensure consistent expectations, reduces disputes over scope creep, and creates a single reference for subsequent change orders and approvals.

Why a Project Management Contractors Addendum Matters

A Project Management Contractors Addendum provides legal clarity on project scope, timelines, and payment triggers, reducing disputes and delays. It documents contractor obligations, risk allocation, and acceptance criteria, making contract enforcement and audit trails simpler for both parties.

Why a Project Management Contractors Addendum Matters

Who Typically Uses This Addendum

Project managers, procurement teams, and contracting officers use this addendum to align expectations before work begins.

  • Contracting organizations: include clauses for milestones, payment terms, and insurance requirements.
  • Independent contractors: confirm scope, deliverables, IP ownership, and subcontracting permissions in writing.
  • Project stakeholders: use to document change orders, acceptance criteria, and project completion conditions.

Use the addendum alongside the master services agreement to ensure consistent interpretation and simplify dispute resolution.

Primary Parties and Their Roles

Independent project management contractors who perform planning, scheduling, budgeting, and coordination. The narrative should state licensure or certifications, hourly or milestone rates, reporting obligations, and any subcontractor approval requirements to establish clear legal and operational responsibilities.

Hiring Entity

The company or public agency engaging the contractor; must specify deliverables, acceptance testing, payment schedule, indemnity boundaries, insurance minimums, and the authorized signatory. This clarifies oversight, procurement compliance, and auditability for internal and external reviews.

Scope of Work

Payment Terms

State amounts or rate, invoicing schedule, payment triggers tied to accepted milestones, late payment interest, and withholding provisions. Clarify expense reimbursement policies and required backup documentation.

  • Failing to name the authorized signatory or obtain signatures from the proper corporate officer can render the addendum non-binding.
