Change Order Process

Any change to scope, schedule or price must be requested in writing and approved via a formal change order executed by authorized representatives of both Parties prior to performance. A change order must include description of change, impact to schedule, and any adjustment to compensation. The Service Provider will not be obligated to perform changed work absent a fully executed change order.

Confidentiality

Each Party agrees to keep confidential all non-public information disclosed in connection with this Agreement and to use such information solely for performance under this Agreement. Confidential information excludes information that is or becomes publicly available through no breach, is independently developed, or is rightfully received from a third party without restriction. Upon request, Confidential Information shall be returned or destroyed and a written certification provided.

Liability; Insurance; Compliance

The Service Provider shall maintain insurance customary for the services provided. Except for willful misconduct or gross negligence, neither Party shall be liable for consequential or indirect damages. Liability for direct damages shall be limited to the total amounts paid under this Agreement for the services giving rise to the claim. Each Party shall at all times comply with applicable laws and regulations in performance of its obligations.

Termination

This Agreement may be terminated by either Party for material breach that remains uncured for thirty (30) days after written notice. Upon termination for convenience, the Client will pay for all services performed and expenses incurred through the effective date of termination, subject to any setoffs for material breaches.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the jurisdiction identified below. The Parties shall attempt in good faith to resolve disputes by negotiation between senior representatives prior to pursuing formal remedies. Any formal dispute shall be resolved in the courts of the identified jurisdiction unless the Parties agree otherwise in writing.

Each Party represents that it has the authority to enter into this Agreement and that the signatory is authorized to bind the Party. The Parties acknowledge that they have read, understand and agree to the terms set forth in this document and that this document constitutes the complete statement of work between the Parties unless superseded by a subsequently executed master agreement.
