Change Order Process

All modifications to scope, schedule, or price shall be executed only by written change order signed by authorized representatives of both parties. Change orders shall specify scope changes, schedule impact, and cost adjustments.

Change orders require written approval by Client before work begins.

Confidentiality

Each party acknowledges that in the course of performance, it may receive Confidential Information of the other party. Confidential Information shall be disclosed only to persons with a need to know and shall not be used for any purpose other than performance under this Agreement. Confidential Information shall be protected for the confidentiality period set forth below and thereafter returned or destroyed upon request.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants to the Client a perpetual, worldwide, royalty-free license to use and modify deliverables upon full payment. Pre-existing tools, methodologies, and intellectual property of the Service Provider remain the Service Provider's sole property.

Deliverables and work product created exclusively for Client will be assigned to Client upon final payment.

Liability & Warranty

The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Except for gross negligence or willful misconduct, the aggregate liability of the Service Provider for direct damages shall be limited to the amounts paid under this Agreement. Neither party shall be liable for consequential, incidental, or punitive damages.

Termination

Either party may terminate this Agreement for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination, Client shall pay the Service Provider for all work performed and documented expenses up to the effective date of termination.

This Agreement shall be governed by the substantive laws of the state or jurisdiction specified below without regard to conflict of law principles. Parties agree to good faith negotiation for disputes and, if unresolved, to the dispute process selected below.
