PROJECT MANAGEMENT COURSEWARE AGREEMENT

Project Identification

Recitals

This Agreement is entered into between Client Name: and Service Provider: for the development, delivery and licensing of project management courseware as set forth herein.

Scope of Work

Provider shall design, develop, and deliver courseware modules, supporting materials, and instructor guides consistent with the specifications and schedule below. Provider will perform work in accordance with professional standards customary for instructional design and project management training.

Deliverables & Acceptance

Provider will produce the deliverables listed below. Each deliverable shall be subject to Client acceptance testing for defects and conformance to acceptance criteria. Client shall provide written acceptance or a consolidated list of defects within Acceptance Period days following delivery.

Intellectual Property & License

Ownership and licensing of deliverables: Provider represents that, except for third-party components disclosed in writing, all deliverables created under this Agreement shall be original works and, upon full payment, ownership of final deliverable materials will be assigned to Client as follows. Provider grants Client a perpetual, worldwide, non-exclusive license to use, reproduce, adapt, and distribute the courseware for Client’s internal training and commercial use, subject to the reservation of Provider’s pre-existing tools, templates and methodologies.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not disclose such information to third parties except as required for performance. Confidentiality obligations survive termination for Confidentiality Period years from disclosure.

Representations, Warranties & Liability

Provider warrants that deliverables will materially conform to the accepted specifications for a period of 30 days following acceptance. EXCEPT AS EXPRESSLY PROVIDED, ALL OTHER WARRANTIES ARE EXPRESSLY DISCLAIMED. Neither party shall be liable for indirect, incidental, special or consequential damages; aggregate liability arising from or related to this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement.

Termination

This Agreement may be terminated by either party for material breach if such breach is not cured within Notice Period days following written notice. Upon termination, Client shall pay Provider for all work performed and accepted to the effective date of termination, plus any non-cancellable third-party costs.

Indemnification

Each party will indemnify, defend and hold harmless the other party from third-party claims arising out of its negligence, willful misconduct, or breach of its representations under this Agreement. The indemnified party shall provide prompt written notice of any claim and cooperate in its defense.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state specified below without regard to conflict of laws principles. Parties shall first attempt to resolve disputes through good faith negotiation; unresolved disputes shall be resolved in the courts of the governing jurisdiction.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
