Confidentiality

Each party acknowledges that in the course of performance it may receive confidential information of the other. Each party shall (i) treat such information as confidential, (ii) restrict disclosure to those employees or agents who have a need to know, and (iii) not use confidential information other than for performance under this Deal Memo. The confidentiality obligation shall survive termination for the period specified below.

Indemnification & Insurance

Service Provider shall indemnify and hold harmless the Client from liabilities, claims, losses and expenses arising from the negligent acts or willful misconduct of Service Provider or its personnel in performance of this Deal Memo. Service Provider shall maintain insurance as described below and provide evidence of insurance upon request.

Cancellation & Force Majeure

Either party may terminate this Deal Memo for material breach if the breach remains uncured thirty (30) days after written notice. In addition, either party may cancel for convenience subject to reasonable cancellation fees described below. Neither party shall be liable for delay or failure resulting from causes beyond its reasonable control.
