Change Order Process

Any change to scope, schedule, deliverables, or price must be initiated by a written Change Request. The Service Provider shall provide an impact analysis including cost, schedule, and risk. No change shall be effective until signed by authorized representatives of both parties. Emergency changes required to prevent material harm must be documented and ratified in writing within five business days.

Confidentiality & Intellectual Property

Each party agrees to hold confidential information in strict confidence and to use such information only for performance under this Dashboard. Confidential information excludes information that is publicly known, rightfully received from a third party without restriction, or independently developed. All work products specifically created for the Client shall be the Client's work product upon receipt of final payment, subject to any third-party licenses disclosed in writing.

Liability, Warranties & Governing Law

The Service Provider warrants that services shall be performed with reasonable skill and care. Except as expressly stated, services are provided "as is" and all other warranties are disclaimed. Except for willful misconduct or gross negligence, neither party's aggregate liability shall exceed the total fees paid under this Dashboard. This Agreement shall be governed by the laws of the state identified below without regard to conflict-of-law principles.
