Change Order Process

All changes to scope, schedule, or fees must be documented in a written Change Order that: (a) describes the requested change with specificity; (b) sets forth any adjustment to fees and delivery dates; and (c) is signed by authorized representatives of both the Client and the Service Provider prior to the commencement of work arising from the change.

The parties acknowledge and agree that no oral authorization will bind either party; written, signed Change Orders are required.

Confidentiality

Each party shall hold in confidence all non-public information disclosed by the other party in connection with this engagement. Confidential information shall not include information that: (i) is publicly known through no breach of this agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed without use of the other party's confidential information. Each party will use confidential information solely for performance under this agreement.

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles.
