Service Provider represents that the deliverable(s) were performed in a professional manner consistent with industry standards and in material compliance with the applicable specifications. Client's acceptance is limited to the scope and acceptance criteria specified herein and does not constitute a waiver of rights for latent defects discovered after acceptance where such defects were the direct result of Provider noncompliance with technical requirements.

Confidentiality: Each party agrees to hold confidential all proprietary information and deliverables marked or identified as confidential and to use such information only for purposes of the Project. Confidential information shall not be disclosed except as required by law or with the other party's prior written consent.
