What the Project Management Delivery Services Agreement Is

A Project Management Delivery Services Agreement is a contractual document that defines the scope, deliverables, responsibilities, timeline, payment terms, change control, and acceptance criteria for project management services delivered by a vendor or consultant. It allocates risk between the parties, sets performance milestones, and establishes procedures for approvals, invoices, dispute resolution, and termination. The agreement is used to ensure clear expectations for project delivery, to provide a basis for measuring performance, and to document remedies and fees for missed milestones or scope changes.

Why a Clear Delivery Agreement Matters

A well-drafted Project Management Delivery Services Agreement reduces ambiguity about roles, timelines, deliverables, and payment, lowering dispute risk and improving project predictability for both client and provider.

Why a Clear Delivery Agreement Matters

Who Typically Prepares and Signs This Agreement

Multiple teams participate in drafting and approving these agreements to align commercial, technical, and legal expectations before work begins.

  • Project managers and PMOs managing scope, schedules, and milestones during delivery.
  • Vendors and subcontractors providing management services, resources, and status reporting.
  • Legal, procurement, or finance teams reviewing payment terms, liability, and compliance.

Final signatures usually come from authorized company officers, procurement leads, or delegated contract signatories depending on organizational policy.

Authorized Signatories and Typical Roles

Client Authorized Signatory

A corporate officer, procurement director, or other person with written delegation of signature authority. Verify organizational policy and any dollar thresholds before execution.

Service Provider Signatory

An officer, VP, or registered agent of the vendor with authority to bind the company; subcontractor signatures require documented delegation from the primary vendor.
