Change Order Process

Any changes to the Scope of Work, timeline, deliverables or fees shall be documented in a written Change Order signed by both parties. Work performed without a mutually executed Change Order is not billable unless otherwise agreed in writing.

Acceptance Procedure

Deliverables shall be submitted to Client for acceptance. Client shall have the acceptance period set forth below to perform tests and either accept or reject the deliverable. If rejected, the Service Provider shall remedy defects and resubmit for a subsequent acceptance review.

Confidentiality

Each party will keep confidential all proprietary information disclosed by the other party in connection with this Agreement and will not disclose such information to any third party except as required to perform its obligations hereunder or as required by law. Confidential information does not include information that is or becomes public through no fault of the receiving party, is independently developed, or is rightfully received from a third party without restriction.

Warranties, Liability & Insurance

Service Provider warrants that the services will be performed in a professional manner in accordance with industry standards. Except for willful misconduct or gross negligence, the maximum aggregate liability of the Service Provider for any claim arising under this Agreement shall not exceed the total fees paid to Service Provider under this Agreement. Each party shall maintain commercially reasonable insurance coverage for the duration of the engagement.

Termination

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the number of days specified below after written notice. Upon termination, Client shall pay for work performed to the date of termination and reasonably incurred wind-down costs.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Parties shall attempt in good faith to resolve disputes by negotiation, and if unresolved, submit disputes to binding arbitration or litigation as selected below.
