Mandatory Written Change Orders: The parties agree that no change affecting cost, schedule, or scope shall be effective unless documented in a written change order signed by authorized representatives of both parties.

Confidentiality

Each party shall treat all designs, drawings, specifications, and other information disclosed in connection with this Design Approval as Confidential Information. Confidential Information shall not be disclosed to third parties except to employees, subcontractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this document. This obligation continues for three years after termination of services or until such information becomes publicly known through no fault of the receiving party.

Warranties, Liability, and Remedies

Service Provider warrants that the design deliverables will materially conform to the agreed acceptance criteria for a period of 30 days from the date of acceptance. Except for this express warranty, all other warranties, whether express or implied, are excluded to the fullest extent permitted by law. The Client's sole and exclusive remedies for breach of this Design Approval shall be limited to correction of the deficient deliverable at the Service Provider's expense or, if correction is not feasible, repayment of fees paid for the deficient deliverable, at Client's election.
