Legal Terms

Confidentiality: Each party shall maintain in confidence all Confidential Information disclosed by the other party in connection with the Project. Confidential Information does not include information that is publicly known through no breach of this agreement, independently developed without use of the other party's information, or required to be disclosed by law with prior notice to the disclosing party where practicable.

Intellectual Property: Unless otherwise agreed in writing, the Client shall own final deliverables upon full payment. The Service Provider retains ownership of pre-existing tools, methodologies, templates, and know-how. The Service Provider grants the Client a non-exclusive, perpetual license to internal use of such pre-existing materials incorporated in deliverables.

Warranties and Limitation of Liability: The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING, SERVICES ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, SPECIAL, OR INCIDENTAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR DIRECT DAMAGES SHALL NOT EXCEED THE TOTAL FEES PAID UNDER THIS PACKET FOR THE APPLICABLE SCOPE.

Indemnification: Each party shall indemnify and hold the other harmless from third-party claims arising out of its gross negligence or willful misconduct in performing its obligations under this Packet, subject to the limitation of liability set forth above.

Termination: Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. Upon termination the Client will pay for all work performed to the effective date of termination and for any non-cancelable commitments made by the Service Provider.

Force Majeure: Neither party shall be liable for delays caused by events beyond its reasonable control, including acts of God, labor disputes, acts of government, and other force majeure events. The affected party shall promptly notify the other and use reasonable efforts to mitigate delay.

Governing Law: This Packet shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below. Disputes shall be resolved by the courts located in the selected jurisdiction unless the parties agree otherwise in writing.

Acceptance and Change Control

Acceptance Procedure: For each deliverable the Client shall review and either (a) provide written acceptance, (b) provide written rejection with detailed non-conformance items, or (c) request reasonable revisions within a period of ten (10) business days from delivery. If the Client fails to respond within ten (10) business days, the deliverable shall be deemed accepted.
