Confidentiality

Each party acknowledges that it may receive confidential information from the other party. Confidential information shall be protected and used solely to perform obligations under this Agreement. Confidential information does not include information that (i) is or becomes public through no breach by the receiving party; (ii) was rightfully known by the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party. The receiving party shall use at least the same degree of care to protect confidential information as it uses for its own confidential information, but in no event less than reasonable care.

Liability and Warranties

The Service Provider warrants that services shall be performed in a professional manner consistent with industry standards. Except for the foregoing warranty, services are provided "as is" and the Service Provider disclaims all other warranties. Except for bodily injury or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total fees paid for the discovery phase.

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law provisions.
