Change Order Process

Any modification to scope, schedule, or price that affects dryhouse delivery must be processed as a Change Order. The Change Order shall state the scope change, cost impact, time impact, and required approvals. Work subject to a Change Order shall not proceed until signed by authorized signatories of both parties, except in emergency situations where immediate corrective action is necessary to protect life or property; such emergency work must be documented and ratified by Change Order within five (5) business days.

Confidentiality

Each party shall treat as confidential all non-public information disclosed in connection with this Dryhouse Form and shall not disclose such information to third parties except as necessary for performance, as required by law, or pursuant to a written agreement of the parties. Confidential information does not include information that is or becomes publicly available other than by breach of this obligation.

Liability, Insurance & Indemnification

Service Provider shall maintain insurance customary for construction operations and shall be responsible for damages caused by its negligence. To the fullest extent permitted by law, each party shall indemnify and hold harmless the other party from and against claims arising from the indemnifying party's negligent acts or omissions in connection with performance of the scope set forth herein.

Termination

Either party may terminate this agreement for material breach following written notice and a thirty (30) day cure period. Termination shall not relieve the Client of payment obligations for work performed through the date of termination, including reasonable demobilization costs where applicable.

Governing Law & Dispute Resolution

This Dryhouse Form and any disputes arising out of or related to it shall be governed by the laws of the state indicated below, without regard to conflicts of law principles. The parties agree to attempt in good faith to resolve disputes through negotiation prior to initiating any litigation or arbitration.
