Change Order Process

Any modification to the Scope of Work or Deliverables shall be effected only by a written Change Order signed by authorized representatives of both parties. A Change Order shall describe the change, an adjustment to the schedule, and the agreed price or pricing method. The Service Provider shall not commence work on a requested change until a Change Order has been executed, except to mitigate immediate risk where written notice is provided promptly thereafter.

Quality, Testing, and Acceptance

The Service Provider warrants that deliverables will be free from material defects and will conform to the agreed acceptance criteria. Client shall have a period of days from delivery to review and either accept or provide a detailed notice of rejection. In the event of rejection, the Service Provider shall correct nonconforming items at no additional cost where such nonconformance is attributable to the Service Provider's performance.

Confidentiality

Each party shall maintain in confidence all confidential information disclosed by the other party and shall not disclose or use such information except as necessary to perform obligations under this Proposal. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is independently developed or rightfully received from a third party without restriction.

Warranties, Indemnification & Limitation of Liability

The Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. The Service Provider agrees to indemnify and hold harmless the Client from third-party claims arising from the Service Provider's negligent acts or willful misconduct. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability for claims arising out of this Proposal shall exceed the total amounts paid to the Service Provider under this Proposal.

Termination

Either party may terminate this Proposal for material breach if the breaching party fails to cure the breach within 30 days of written notice. In the event of termination for convenience by the Client, the Client shall pay for work performed up to the effective date of termination, including reasonable close-out costs and any non-cancellable commitments.

Governing Law and Dispute Resolution

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of laws principles. Parties shall attempt to resolve disputes in good faith, and prior to commencing litigation, shall engage in mediation.
