Change Control Process

All scope, schedule or budget changes shall be authorized only by a written Change Order signed by authorized representatives of both parties. Requested changes shall include description of change, impact to schedule, cost estimate, and revised acceptance criteria.

Confidentiality & Data Handling

Each party agrees to maintain the confidentiality of the other party's proprietary information and to use such information only for performance of this agreement. Confidential information shall not include information that is or becomes publicly available through no breach by the receiving party, or was known prior to disclosure.

Intellectual Property & Deliverable Rights

Unless otherwise expressly set forth, Service Provider grants Client a non-exclusive, worldwide license to use deliverables for Client's internal business purposes upon full payment. Pre-existing tools, methodologies, and provider confidential know-how remain the property of Service Provider.

Warranties, Liability & Indemnity

Provider warrants that services will be performed in a professional manner consistent with industry standards for similar engineering services. Except as expressly set forth, all other warranties are disclaimed. Neither party shall be liable for indirect, incidental or consequential damages; aggregate direct damages shall be limited to amounts paid under this agreement in the preceding twelve months.

Insurance & Subcontracting

Service Provider shall maintain insurance customary for engineering services, including commercial general liability and professional liability where applicable. Provider may subcontract portions of work but remains responsible for subcontractor performance.

Termination & Suspension

Either party may terminate for material breach if the other party fails to cure such breach within thirty (30) days of written notice. Client may terminate for convenience upon payment for work performed and reasonable wind-down costs. Termination shall not relieve Client of payment obligations for accepted deliverables.

Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, labor disputes, governmental action, or inability to obtain necessary materials. Affected party shall promptly notify the other and take commercially reasonable steps to mitigate impact.

Governing Law & Dispute Resolution

This Agreement shall be governed by the substantive law of the governing_jurisdiction, excluding its conflicts-of-law rules. Parties agree to attempt good-faith negotiation prior to initiating litigation; prevailing party in any action shall be entitled to reasonable attorneys' fees and costs as determined by a court of competent jurisdiction.
