Project Identification

Scope of Work

The Service Provider shall perform the following services in accordance with the terms set forth in this document. All work shall be performed in a professional and workmanlike manner consistent with industry standards.

Deliverables and Acceptance Criteria

The Service Provider will deliver the following items. Each deliverable must meet the acceptance criteria specified below. Acceptance will be deemed given only after the Client provides written acceptance or the Client fails to provide written rejection with substantiated defects within ten (10) business days following delivery.

Budget and Payment

Compensation for the Services shall be as set forth below. All fees are exclusive of taxes unless otherwise stated. Unless otherwise specified, invoices are payable in accordance with the invoice terms set forth below.

All changes to scope, schedule, or price shall be documented by a written change order signed by authorized representatives of both parties prior to performance. No work performed in response to an oral request will be billable unless a signed change order is subsequently executed.

Confidentiality

Each party acknowledges that during performance it may receive Confidential Information of the other. Confidential Information shall be used solely for performance under this Agreement and shall not be disclosed to any third party except as required by law or with the disclosing party's prior written consent. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party or that is independently developed.

Liability, Termination, and Governing Law

The Service Provider's aggregate liability for claims arising out of this Agreement shall not exceed the total fees paid by the Client for the Services giving rise to the claim. Neither party shall be liable for consequential, incidental, or punitive damages except for liability arising from gross negligence or willful misconduct.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Upon termination, the Client shall pay for Services performed to the termination date and any non-cancellable commitments.

Representations and Warranties

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and to carry out its obligations. The Service Provider warrants that Services will be performed in a professional manner consistent with generally accepted industry standards.
