Invoices: Provider shall submit invoices in accordance with the Payment Schedule. Unless otherwise stated, Client shall pay undisputed invoices within 30 days of receipt. Disputed amounts must be identified in writing within the payment period and both parties shall attempt to resolve disputes in good faith.

Change Order Process

All changes to scope, schedule, or price must be documented in a written change order specifying the change, cost impact, schedule impact, and approval signature lines for both parties. No change will be effective unless signed by authorized representatives of both Client and Provider.

Site Conditions, Permits & Approvals

The Client represents that the information regarding site conditions supplied to the Provider is materially accurate. The party responsible for obtaining permits is:

Safety, Insurance & Indemnity

Provider shall comply with all applicable safety laws and maintain commercial general liability and worker's compensation insurance coverage adequate for the scope of work. Provider shall provide certificates of insurance upon request prior to mobilization.

Indemnity: Each party shall indemnify and hold harmless the other from third-party claims arising out of its negligence or breach of this Agreement, except to the extent caused by the indemnified party's negligence or willful misconduct. Neither party shall be liable for consequential or punitive damages except for gross negligence or willful misconduct.

Warranties & Defects

Provider warrants that work performed under this Agreement will be free of defects in workmanship for the warranty period specified below. Warranty does not cover defects arising from site conditions unknown to Provider or caused by third parties.

Confidentiality

Each party shall keep confidential all proprietary technical and business information disclosed in connection with the Project and shall not disclose such information to third parties except as required by law or with prior written consent of the disclosing party.

Termination

Either party may terminate this Agreement for cause upon material breach by the other party if such breach is not cured within the notice period set forth below. Client may terminate for convenience upon payment of costs and reasonable demobilization fees.

Dispute Resolution & Governing Law

Parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to non-binding mediation, followed by binding arbitration if mediation fails. Judgment on the arbitration award may be entered in a court of competent jurisdiction.

Final Acceptance & Remedies

Final acceptance occurs when deliverables satisfy acceptance criteria and Client issues written acceptance. If deficiencies are identified, Provider shall remedy them within the agreed remedy period at no additional cost unless deficiencies arise from causes outside Provider's control.

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes prior negotiations and agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
