What the Project Management Executed Agreement Is

A Project Management Executed Agreement is a signed contract that documents the terms, deliverables, schedule, payment, and responsibilities for a specific project between parties. It consolidates scope, milestones, acceptance criteria, change control, and dispute resolution so work can begin with clear obligations and a record of mutual assent.

Why a Properly Executed Agreement Matters

A fully executed project agreement reduces ambiguity, allocates risk, and creates enforceable obligations under contract law. It also clarifies payment triggers and acceptance criteria, which limits disputes and supports project governance.

Why a Properly Executed Agreement Matters

Teams and Roles That Typically Use This Agreement

Use this agreement when teams from multiple departments or external vendors must coordinate project scope, schedule, and payment.

  • Project managers coordinating vendors and internal stakeholders, ensuring milestones and deliverables are enforceable and tracked.
  • Procurement and legal teams reviewing commercial terms, insurance, indemnities, and payment schedules before award and execution.
  • Contractors and subcontractors who need a formal record of scope, acceptance criteria, and change-order procedures before starting work.

Having clear signatory roles and a complete executed copy streamlines onboarding, invoicing, and audit trails for the project lifecycle.

Step-by-step: Completing and Executing the Agreement

Follow these sequential steps to prepare, review, sign, and circulate an executed agreement so the project can start with documented approvals.

  • 01
Draft: Assemble scope, schedule, payment, and standard clauses in a single document.
  • 02
Review: Have legal and finance confirm liabilities, taxes, and payment terms.
  • 03
Sign: Obtain signatures in the prescribed order from authorized signers.
  • 04
Distribute: Share final executed copies to all parties and store securely.

Configuring an Online Signing Workflow

Set up routing, authentication, and notifications before sending the document for signatures so each signer gets the correct view and required fields.

Field Configuration
Routing Order Set serial or parallel routing to control signing sequence and approvals.
Authentication Choose email link, SMS code, or ID verification depending on risk and party requirements.
Conditional Fields Use conditional fields to show relevant clauses only when applicable to the project.
Notifications Enable reminders and completion receipts to reduce delays and maintain an audit trail.

Typical eSigning Flow for Execution

A standard electronic execution sequence captures consent, identity, and an audit trail while delivering signed copies to all parties automatically.

  • Upload Document: Sender uploads the agreement to the platform.
  • Place Fields: Add signature, date, and required data fields.
  • Authenticate: Signer confirms identity via chosen method.
  • Complete: Signed PDF and audit trail are generated and shared.

Technical Considerations for eSignature and eSubmission

Verify the signing platform supports required authentication, audit trails, and document formats before commencing execution.

  • File Formats: PDF, DOCX accepted for reliable output.
  • Integrations: Connectors to systems like Salesforce or NetSuite simplify routing.
  • Security: TLS and AES encryption protect data in transit and at rest.

Confirm platform compliance with industry requirements (HIPAA, SOC 2, 21 CFR Part 11 where needed) and preserve the audit trail for disputes and audits.

Core Components Your Executed Agreement Should Contain

A professional agreement combines essential legal and operational clauses so expectations, risks, and remedies are clear to all parties.

Parties & Recitals

Identify each contracting party, legal status, and context for the agreement to ensure correct attribution and authority.

Scope

Define deliverables, acceptance criteria, and exclusions in measurable terms to minimize disputes over responsibilities.

Schedule

List milestones, delivery dates, and dependencies with clear acceptance procedures and consequences for missed milestones.

Payment Terms

State amounts, invoicing cadence, tax treatment, retention, and remedies for late payment or nonpayment.

Change Control

Prescribe how scope changes are requested, approved, priced, and scheduled to avoid informal scope creep.

Termination & Disputes

Include termination rights, cure periods, governing law, and dispute resolution (mediation, arbitration, or court venue).

Security and Compliance Features to Verify

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Audit Trail: Complete timestamps, IP addresses, and action logs
Authentication: Email, SMS code, or advanced signer verification
HIPAA: BAA required for PHI workflows
Certifications: SOC 2 Type II, ISO 27001, PCI DSS
Retention: Exportable, tamper-evident signed PDFs

Common Preparation Errors to Avoid

  • Leaving scope vague or outsourcing critical terms to attachments that are not incorporated by reference, which creates enforcement gaps.
  • Mismatched or incomplete party names that cause delays during signature verification or dispute resolution over who contracted.
  • Missing or inconsistent dates that change the start of obligations and affect warranty and statute of limitations calculations.
  • Failing to define change-order pricing and approval steps, which often leads to unpaid work or contested invoices.

Consequences of an Incorrectly Executed Agreement

Unenforceable Terms: Missing signatures can void clauses
Payment Disputes: Late or absent invoices invite litigation
Regulatory Risk: Noncompliance increases exposure
Operational Delay: Ambiguous scope halts deliverables
Increased Costs: Rework and claims inflate budgets
Reputational Harm: Contractual disputes affect future awards
