What the Project Management Executive Production Agreement Is

Project Management Executive Production Agreement defines the contractual relationship between a project management executive (PME) and the engaging party for production oversight, deliverables, timelines, compensation, and intellectual property. It allocates responsibilities for scheduling, vendor coordination, budget control, approvals, confidentiality, and indemnities. Typical provisions include scope of services, milestones, acceptance criteria, payment schedule, expense reimbursement, ownership of work product, termination rights, and dispute resolution. Parties may execute this agreement in writing or electronically; ESIGN and UETA generally support electronic execution for commercial contracts in the United States.

Why a Clear Agreement Matters

A Project Management Executive Production Agreement clarifies expectations, protects intellectual property, and reduces disputes by documenting deliverables, payment terms, and governance. Well-drafted agreements enable predictable project execution, assign liability, and provide contractual remedies and termination mechanisms for both parties.

Why a Clear Agreement Matters

Who Commonly Prepares and Signs This Agreement

Typical users who complete this agreement include project managers, production executives, procurement officers, and legal counsel.

  • Project management executives responsible for supervising production schedules and vendor deliverables.
  • Hiring organizations (studios, agencies, brands) controlling budgets and approving milestones.
  • Legal and procurement teams reviewing liability, IP, and payment provisions before execution.

Use parties should tailor roles and signatory authority to internal approval and procurement policies requirements.

Main Contract Elements to Include

Core clauses define scope, compensation, deliverables, intellectual property, confidentiality, and termination to create enforceable obligations and measurable milestones for project delivery.

Scope of Services

Describe specific project management tasks, responsibilities, reporting cadence, deliverables with acceptance criteria, and any excluded services. Attach schedules or exhibits listing milestones, dates, and deliverable formats to avoid ambiguity.

Deliverables & Milestones

Set firm deliverable descriptions, milestone dates, approval procedures, and criteria for acceptance or rework. Tie payments to approved milestones and include cure periods for missed deliverables.

Compensation

Detail fee structure, payment schedule, invoicing procedures, late payment interest, expense reimbursement rules, and conditions for fee adjustments or additional work authorizations.

Expenses

Specify reimbursable expense categories, required receipts, per diem limits, pre-approval thresholds, and timing for reimbursement to prevent disputes over out-of-pocket costs.

IP & Licensing

Allocate ownership of work product, grant licenses where appropriate, and include assignment terms for deliverables, third-party materials, and preexisting intellectual property rights.

Termination & Dispute

Define termination for convenience and for cause, notice periods, post-termination obligations, and preferred dispute resolution method such as arbitration, mediation, or court jurisdiction.

Common Preparation Mistakes to Avoid

  • Missing signatory authority or incorrect names can void acceptance and delay payment or enforcement of contract terms.
  • Failing to tie payments to milestones encourages scope creep and makes it difficult to enforce penalties or withhold funds.
