Each party shall treat as Confidential Information all non-public information disclosed in connection with this Proposal and the Project. Confidential Information does not include information that is publicly known, rightfully received from a third party without obligation of confidentiality, or independently developed without use of the other party's Confidential Information. Recipient shall use at least the same degree of care to protect Confidential Information as it uses with its own confidential materials, but no less than reasonable care.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after receipt of written notice. Client may terminate for convenience upon days' written notice; in such event Service Provider shall be paid for work performed and documented costs incurred through termination date, subject to offset for claims.

Governing Law & Dispute Resolution

This Proposal and any resulting agreement shall be governed by the laws of the state of without regard to its choice-of-law rules. Parties agree to use good faith negotiations to resolve disputes. If negotiation fails, disputes shall be resolved by binding arbitration in the county where the Project is located unless otherwise agreed in writing.

Acceptance

Client shall provide written acceptance or rejection of each deliverable within business days of receipt. Rejected deliverables will be described with deficiency items and Service Provider will remedy in a timely manner at no additional cost unless rejection is caused by out-of-scope conditions.
