Insurance, Warranties & Assumptions

The Service Provider warrants that the services provided under this proposal will be performed in a workmanlike manner consistent with industry standards for a period stated below. Warranty remedies are limited to re-performance of deficient work, except where statute requires otherwise.

Confidentiality

Each party shall keep confidential all non-public business information disclosed in connection with this Proposal and the related performance of services. Confidential information shall be used solely for the performance and administration of the project and shall not be disclosed except as required by law or with the disclosing party's prior written consent.

Liability, Indemnity & Termination

Limitation of Liability: Except for claims arising from gross negligence, willful misconduct or breach of confidentiality, the Service Provider's aggregate liability for damages under or in connection with this Proposal shall not exceed the total fees actually paid by the Client under this Proposal.

Indemnification: Each party agrees to indemnify and hold harmless the other party from claims, liabilities, damages and expenses arising from its negligent acts or omissions in the performance of obligations under this Proposal.

Termination: Either party may terminate for material breach if the breach is not cured within 14 days of written notice. Upon termination the Client will pay for services performed and costs incurred through the date of termination.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, government actions, strikes, or severe weather, provided the affected party gives prompt written notice and uses commercially reasonable efforts to mitigate the effect.

This Proposal and any resulting agreement shall be governed by the substantive laws of: without regard to conflicts of law principles. Parties will first attempt to resolve disputes through good faith negotiation; if unresolved, disputes shall be resolved by binding arbitration unless otherwise agreed in writing.

Acceptance Procedure: Client shall provide written acceptance or a written list of deficiencies within calendar days after delivery of a deliverable. Failure to respond within that period shall constitute deemed acceptance.
