The Client agrees to pay the Service Provider the fees set forth below in consideration for the scope and deliverables. Payment obligations survive termination with respect to services rendered and accepted deliverables.

Change Order Process

All changes to scope, schedule, or fees shall be initiated by a written change order signed by authorized representatives of both parties. No change will be binding without such written authorization. Change orders shall state the change, impact on schedule, and any additional fees or credits.

Confidentiality

Each party shall keep confidential all non-public information obtained from the other party and shall not disclose such information except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement, or is independently developed without use of the other party's confidential information. Confidentiality obligations survive termination for a period of three (3) years.

Intellectual Property

Unless otherwise agreed in writing, the Service Provider grants the Client a non-exclusive, perpetual license to use deliverables for the Client's internal business purposes after final payment and acceptance. The Service Provider retains ownership of pre-existing tools, methodologies, templates, and know-how. Where third-party materials are incorporated, the parties will identify licensing obligations and costs in writing.

Warranties, Liability, and Termination

The Service Provider warrants that services will be performed with commercially reasonable skill and care consistent with industry standards. Except for willful misconduct or gross negligence, each party's aggregate liability arising out of or related to this proposal shall be limited to the total fees paid under this proposal. Either party may terminate for convenience with thirty (30) days' written notice; termination for cause may be immediate where a material breach remains uncured after ten (10) days' written notice.

Governing Law and Dispute Resolution

This Proposal and any resulting agreement shall be governed by the laws of the jurisdiction identified below, without regard to conflict of law principles. The parties will attempt in good faith to resolve disputes through negotiation. If unresolved within thirty (30) days, disputes will be resolved in the courts located in the governing jurisdiction identified below.

Acceptance Testing and Completion

Upon delivery of each deliverable, the Client will have a defined acceptance period during which to review and either accept or provide written notice of material defects. If the Client does not provide written notice within the acceptance period, the deliverable will be deemed accepted. The acceptance period below applies to all deliverables unless otherwise specified.

Miscellaneous

Notices required under this Proposal shall be in writing and delivered to the addresses provided above or to an alternate address provided in writing. This Proposal constitutes the entire understanding with respect to the subject matter and supersedes prior proposals and communications. Amendments must be in writing and signed by both parties.
