PROJECT MANAGEMENT FIRE STATION AGREEMENT

Project Identification

Recitals

This Agreement is made between Client Name: and Service Provider: for the purpose of providing project management and construction administration services for the design and construction of a fire station located at:

Scope of Work

The Service Provider shall provide comprehensive project management services including planning, scheduling, procurement oversight, contract administration, construction coordination, quality assurance, safety monitoring, and closeout documentation as further detailed below. The Service Provider shall act as Client's representative for all matters set forth in this Agreement, but shall not assume obligations reserved by law to licensed design professionals unless otherwise agreed in writing.

Deliverables & Acceptance

The Service Provider shall deliver the items listed below. Each deliverable shall include acceptance criteria. Acceptance shall occur when the Client provides written acceptance or fails to provide written rejection that identifies deficiencies within ten (10) business days of delivery.

Timeline & Milestones

The initial schedule is set forth below. Milestone dates are target dates and may be adjusted by mutual written agreement. The Service Provider shall use commercially reasonable efforts to achieve the milestones.

Budget & Payment

Client shall pay Service Provider for services performed in accordance with the fee schedule below. All fees are exclusive of applicable taxes unless otherwise stated. Payment terms are net thirty (30) days from invoice unless otherwise specified.

Change Order Procedure

Any changes to scope, schedule, or cost shall be effected only by a written change order signed by authorized representatives of Client and Service Provider. Service Provider shall not be compensated for work outside the scope without an executed change order.

Insurance & Bonds

The Service Provider shall maintain insurance with minimum limits and terms acceptable to Client, including but not limited to commercial general liability, professional liability, and workers' compensation. Evidence of coverage shall be provided prior to commencement of work.

Client & Service Provider Responsibilities

Each party shall perform its obligations in a timely manner. Client shall provide access to site, timely approvals, and required information. Service Provider shall coordinate contractors, enforce quality standards, and document progress.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement. Confidential information shall not be disclosed except to perform obligations hereunder or as required by law, provided the disclosing party is given prompt notice and opportunity to seek protective measures.

Indemnification & Limitation of Liability

Service Provider shall indemnify and hold harmless Client from third-party claims arising out of Service Provider's negligent performance. Except for willful misconduct or gross negligence, neither party's liability under this Agreement shall exceed the total fees paid to Service Provider under this Agreement.

Termination

Either party may terminate this Agreement for material breach upon thirty (30) days' written notice if the breach is not cured. Upon termination, Service Provider shall deliver all work in progress and Client shall pay for services rendered and reimbursable expenses incurred to the effective date of termination.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, labor disputes, governmental actions, or severe weather, provided prompt notice is given to the other party.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the Client below. Prior to initiating litigation, the parties shall attempt to resolve disputes by good faith negotiation. If unresolved, disputes shall be resolved in the appropriate state court.

Records, Audit & Retention

Service Provider shall maintain records related to performance and billing for a period of not less than five (5) years from final payment. Client or its authorized representative shall have the right to audit such records upon reasonable notice during regular business hours.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses below by hand, registered mail, or courier, and shall be effective upon receipt.

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals and communications. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force.
