What a Project Management Fixed Price Agreement Covers

A Project Management Fixed Price Agreement is a written contract that sets a single, agreed fee for project management services regardless of hours spent or actual costs incurred. It defines scope, deliverables, milestones, payment schedule, change-order procedures, acceptance criteria, and liability limits. Parties use this form to allocate risk: the contractor accepts scope and schedule risk in exchange for predictable compensation, while the client gains budget certainty. The agreement typically references professional standards, inspection and approval processes, and dispute resolution mechanisms specific to the project type and governing law.

Why use a fixed-price project management contract

Fixed-price agreements provide budget certainty, simplify invoicing, and clarify deliverables and acceptance criteria. They help align incentives, limit scope creep through defined change-order rules, and reduce ongoing billing disputes when scope and timelines are well scoped and managed.

Why use a fixed-price project management contract

Which roles commonly prepare and sign this agreement

Typical preparers include project managers, contracts administrators, procurement officers, and outside counsel; signatories are authorized corporate officers or contracting agents.

  • Project Managers and PMOs who need clear scope and milestone-based payment terms to manage delivery risk.
  • Procurement or Contracts teams that require fixed budgets and standardized change-order processes.
  • Clients (owners) seeking predictable costs and defined acceptance criteria to control payments.

Use internal approval routing and confirm signatory authority before execution to avoid later challenges to enforceability.

Step-by-step: completing and executing the agreement

Follow a consistent sequence to reduce errors and preserve enforceability when using electronic tools or paper.

  • 01
Draft the SOW: Create a detailed statement of work and attach as an exhibit.
  • 02
Set milestones: Define measurable acceptance criteria tied to payment triggers.
  • 03
Review legal terms: Have contracts counsel check liability, indemnity, and IP provisions.
  • 04
Authorize signatures: Confirm signatory authority and execute signatures with dates.

How execution and delivery typically flow

Execution often involves parallel operational and administrative steps to start work promptly after signing.

  • Upload and prepare: Upload executed agreement and route to project stakeholders.
  • Kickoff meeting: Hold a kickoff to confirm milestones and responsibilities.
  • Milestone delivery: Deliverables submitted per acceptance criteria for review.
  • Final acceptance: Client signs off, final invoice issued, and retention released.

Essential clauses to include in a professional fixed-price agreement

Scope and Deliverables

Precisely define what is included and excluded, reference deliverable formats and acceptance tests to avoid disputes over scope creep.

Payment Terms

State fixed amount, milestone payments, invoicing frequency, and consequences for late payment including interest or suspension rights.

Change Control

Require written change orders with pricing and schedule adjustments; specify an approval timeline to prevent informal scope expansion.

Warranties and Remedies

Limit warranty duration, describe remedy process for defective work, and cap damages where appropriate and lawful.

Liability and Insurance

Set liability caps, require insurance coverages, and state indemnity obligations tied to breaches or third-party claims.

Termination

Describe termination for cause and convenience, payment on termination, and transition assistance obligations to minimize disruption.

Operational and compliance details to capture

Entity Type: LLC, Corporation
Tax ID: EIN or SSN
Project Address: Street and ZIP
Payment Terms: Net 30, milestone
Insurance Limits: Per contract
Governing Law: Selected state

Key legal and financial risks if the agreement is incorrect

Scope Ambiguity: Disputes over deliverables
Incorrect Signatory: Contract may be voidable
Missing Change Order: Uncompensated extra work
Improper Invoicing: Payment delays and disputes
Noncompliance: Regulatory penalties possible
Retention Errors: Records not preserved

Common preparation mistakes to avoid

  • Leaving exhibits referenced but not attached, which creates enforceability gaps.
  • Using open-ended language for scope that invites differing interpretations and cost disputes.
  • Failing to specify acceptance tests, making it hard to determine when milestones are complete.
  • Not confirming signatory authority, which can delay enforcement or trigger repudiation claims.

Typical timing and deadline expectations

Track contract dates carefully: execution, milestone due dates, invoicing windows, and any statutory retention or tax filing deadlines that apply.

Execution Date:

Effective Date as entered in MM/DD/YYYY format

Milestone Deadlines:

Invoice Submission:

Submit within the invoice window specified (commonly 30 days)
