Work shall be performed in a professional and workmanlike manner consistent with industry standards applicable to similar residential and commercial landscaping projects.

Deliverables will be completed, inspected, and accepted according to the criteria provided below. Acceptance requires a written sign-off from the Client or documented conditional acceptance where applicable.

Budget & Payment

Compensation for the Services shall be as set forth below. All amounts are stated in U.S. dollars unless otherwise noted. Payment obligations are independent of milestone acceptance unless expressly stated.

Change Order Process

All modifications to the Scope of Work must be documented in a written change order signed by an authorized representative of both parties. A change order shall describe the change, estimated cost and schedule impact, and required approvals. The Service Provider shall not proceed with work that changes the Scope without an executed change order when the change exceeds the approval threshold.

Confidentiality

Each party will hold in confidence non-public business information disclosed in connection with the performance of this Agreement. Confidential information may not be used for any purpose other than performance under this Agreement or disclosed to third parties except as required by law. This obligation shall survive termination of the Agreement for a period of three years unless otherwise agreed in writing.

 Client and Service Provider acknowledge and agree to the confidentiality terms above.

Insurance, Warranties & Liability

The Service Provider shall maintain commercially reasonable insurance coverage, including general liability and workers' compensation where required by law. The Service Provider warrants that labor and materials provided under this Agreement will be free from significant defects for a period of 90 days after acceptance unless a longer warranty is specified in the scope. Except for willful misconduct or gross negligence, the total aggregate liability of the Service Provider for direct damages arising from this Agreement will not exceed the total fees paid to the Service Provider under this Agreement.

Acceptance & Final Delivery

Final delivery is complete when all deliverables have been provided, the project site has been left in a clean and safe condition, and the Client provides written acceptance or fails to provide documented rejection with specific deficiencies within seven (7) business days following inspection. If the Client provides timely written deficiencies, the Service Provider shall correct the deficiencies within a commercially reasonable period.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. The parties agree to good faith negotiation to resolve disputes. If negotiation fails, disputes shall be resolved by binding arbitration in the agreed governing jurisdiction unless the parties mutually agree otherwise in writing.

Termination

Either party may terminate this Agreement for material breach if the breach remains uncured thirty (30) days after written notice. Upon termination by Client for convenience, the Service Provider shall be paid for work performed and documented costs incurred through the effective date of termination, subject to the Client's right to offset for defective performance.

Additional Provisions

This Agreement, including any executed change orders, constitutes the entire agreement between the parties regarding the Project and supersedes prior proposals and agreements. Amendments must be made in writing and signed by authorized representatives of both parties.
