Scope of Work

The General Contractor shall perform all project management, coordination, supervision and related construction administration services necessary to complete the work described below in accordance with the Contract Documents. The GC shall be responsible for subcontractor management, schedule enforcement, quality control, safety compliance, and record keeping.

Budget & Payment Terms

All changes to the scope, price or schedule shall be effected only by written change order signed by the Client and the GC. Change orders shall describe adjustments to scope, cost, and time. No work shall proceed on changed scope without an approved change order.

Insurance, Liability & Indemnity

The GC shall maintain commercial general liability, workers' compensation, automobile liability and professional liability insurance where applicable, in amounts customary for the work. Certificates evidencing such insurance shall be delivered to the Client prior to commencement of work.

The GC shall indemnify, defend and hold the Client harmless from and against all claims, damages, losses and expenses arising out of or resulting from the performance of the GC's work, to the extent caused by the negligent acts or omissions of the GC or its subcontractors.

Confidentiality

Each Party shall maintain as confidential all non-public information disclosed by the other Party in connection with this Contract and shall not use such information except for the performance of its obligations hereunder. Confidential information does not include information that is or becomes public through no breach of this Contract or that is required to be disclosed by law, provided the disclosing Party is given prompt notice to seek protective measures.

Termination

This Contract may be terminated by either Party for material breach that remains uncured for thirty (30) days after written notice specifying the breach. Upon termination the GC shall be entitled to payment for Work executed and costs reasonably incurred up to the effective date of termination, subject to offset for damages caused by the breach.

Force Majeure

Neither Party shall be liable for delays or failures in performance due to causes beyond its reasonable control, including acts of God, strikes, governmental actions, shortages of materials, or other force majeure events. Affected performance times shall be extended for a period commensurate with the delay.

Dispute Resolution & Governing Law

The Parties shall attempt in good faith to resolve disputes by negotiation. If unresolved within thirty (30) days, disputes shall be submitted to mediation. If mediation fails, disputes shall be resolved by binding arbitration under commercially reasonable arbitration rules selected by the Parties. This Contract shall be governed by the substantive laws of the state of , without regard to conflicts of law principles.

Notices

All notices or communications required under this Contract shall be in writing and delivered to the addresses set forth below or to such other address as either Party designates by written notice.

Representations, Warranties & Miscellaneous

Each Party represents that it has full power and authority to enter into this Contract and to perform its obligations. The GC warrants that work performed under this Contract will be performed in a workmanlike manner and in accordance with industry standards. Except as expressly provided, no other warranties are made.

This Contract, including all referenced exhibits and approved change orders, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, proposals or representations, whether written or oral.
