What the Project Management GMP Amendment Is

A Project Management GMP Amendment is a written modification to an existing construction or project management agreement that adjusts the Guaranteed Maximum Price (GMP), scope, schedule, or terms governing cost risk. It documents agreed changes to contract value and responsibilities, establishes new payment and milestone terms, and preserves the original contract’s baseline while creating an auditable record of negotiated adjustments among owner, contractor, and project manager.

Why a Formal GMP Amendment Matters

A clear, executed GMP amendment preserves cost certainty, assigns risks, and prevents disputes by recording scope changes, contingency use, and revised completion dates. It creates enforceable rights and a traceable decision history for owners, contractors, and lenders.

Why a Formal GMP Amendment Matters

Who Typically Prepares and Signs This Amendment

Each signer should have authority to bind their party; distribution typically goes to owner, contractor, architect, and the project file.

  • Owner representatives and project controls teams who authorize budget and scope adjustments for the project.
  • General contractors or construction managers responsible for updated cost estimates and schedule impacts.
  • Design professionals and project managers who confirm scope, milestones, and technical implications.

Typical Signatories and Their Roles

Project Manager

A project manager ensures the amendment aligns with the project schedule, change orders, and cost control procedures. They confirm technical impacts and communicate revised milestones to stakeholders, maintaining the project baseline and risk register during implementation.

Authorized Owner

An owner or owner representative with contract authority approves GMP adjustments and funding changes. Their signature confirms budget availability, acceptance of revised contingencies, and direction to proceed under the amended GMP terms.

Core Elements to Include in a Professional GMP Amendment

A well-drafted amendment is specific, measurable, and linked to the original contract; include references, amounts, dates, and responsibilities to prevent future disputes.

Reference Clause

Cite the original contract by title, date, and section to make the amendment legally part of the main agreement and avoid ambiguity about which provisions are modified.

Revised GMP Amount

State the previous GMP, the proposed adjustment, the new total GMP, and whether changes consume contingency or require new funding, including currency and rounding rules.

Scope Changes

Describe added or deleted work with sufficient detail or attached exhibits so cost and schedule impacts are traceable and measurable for change order accounting.

Schedule Adjustments

Specify new milestone dates, critical path impacts, and liquidated damages adjustments, plus responsibilities for acceleration or delay mitigation.

Payment Terms

Explain invoicing, retainage, milestone payments, and any holdbacks linked to the amended GMP, including submission and approval processes.

Risk Allocation

Document which party assumes new cost or performance risks, insurance changes, bonding adjustments, and indemnity modifications related to the amendment.

  • Owner: File in contract administration and procurement systems
  • Contractor: Update internal cost control and job cost ledgers
  • Architect/Engineer: Document scope and drawing revisions
  • Project File: Store executed PDF in centralized project repository

Technical Considerations for Digital Execution

Ensure chosen tools meet contract retention, access controls, and any industry compliance needs before executing high-value amendments.

  • File Formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, signNow
  • Authentication: Email OTP, SMS, KBA options

Common Preparation Mistakes to Avoid

  • Vague scope descriptions that create ambiguity and disputes over deliverables and pricing.
  • Failing to attach supporting cost backup, which undermines approval and auditability for budget controllers.
  • Using unsigned or improperly authorized signatures that risk unenforceability and contract noncompliance.
  • Not updating project schedules or procurement documents to reflect amended milestones and obligations.

Key Risks and Potential Consequences

Breach Claims: Contract damages risk
Payment Delays: Cashflow and lien exposure
Permit Noncompliance: Fines or work stoppage
Bonding Issues: Surety disputes possible
Tax Reporting: Incorrect records risk penalties
Record Gaps: Weakened enforceability

Practical Examples of GMP Amendment Usage

Two concise scenarios illustrate typical amendment triggers and outcomes.

Unforeseen Site Conditions

An excavation change required redesign and extra work

  • Added $250,000 to GMP after bids
  • The amendment documented scope, updated schedule by 30 days, and established milestone payments tied to new work.

Scope Reduction

Owner deferred selected finishes to reduce cost

  • GMP decreased by $120,000 after agreement
  • Amendment revised specifications, adjusted retainage schedule, and preserved contractor warranties for completed work.
