Budget, Payment and Change Orders

The Client agrees to pay the Provider the sums set forth below in consideration for the performance of the Scope of Work. Payment is due as described in the Payment Schedule. All amounts are in local currency.

Insurance, Permits and Safety

The Provider shall maintain at its expense workers' compensation, commercial general liability, and automobile liability insurance with limits customary to the industry and appropriate for the scope of work. Provider shall provide certificates of insurance upon request prior to commencing work.

Warranty and Maintenance

Provider warrants that materials and workmanship furnished under this Proposal will be free from defects for the period specified below, subject to normal wear and tear and exclusions listed in this clause.

Indemnification; Limitation of Liability

Provider shall indemnify and hold harmless the Client from claims, damages and losses arising from Provider's negligence, willful misconduct or breach of this Proposal. Client shall indemnify and hold harmless the Provider from claims arising from Client-supplied materials or acts beyond Provider's control. Except for gross negligence or willful misconduct, neither party's aggregate liability for direct damages shall exceed the Total Contract Price; neither party shall be liable for consequential, incidental or punitive damages.

Termination

Either party may terminate this Proposal for material breach by the other party if the breach remains uncured after written notice and the expiration of the cure period specified below. Upon termination, Provider shall be entitled to payment for work performed and materials purchased to date, less offsets for damages.

Confidentiality

Each party shall keep in confidence all non-public information disclosed by the other party in connection with this Proposal and shall not disclose such information except to employees, subcontractors and agents with a need to know, or as required by law. Confidential information does not include information that is publicly known or independently developed without use of the other's confidential information.

Governing Law and Dispute Resolution

This Proposal and any dispute arising out of or relating to it shall be governed by the laws of the State specified below without regard to conflict of law principles. Parties shall seek to resolve disputes first by good faith negotiation and, if unresolved, by binding arbitration or litigation as selected by mutual agreement.
