What a Project Management Heads of Agreement Is

A Project Management Heads of Agreement is a preliminary contract that records the principal terms agreed between a project owner and a project manager or management firm before drafting a full services agreement. It typically summarizes scope, high‑level deliverables, roles and responsibilities, high‑level schedule, commercial terms such as fees and payment milestones, confidentiality and exclusivity expectations, and any conditions precedent. The heads of agreement can be wholly or partly binding depending on the language used and should state which clauses are intended to be binding pending a definitive contract.

Why Use a Heads of Agreement for Project Management

A heads of agreement clarifies expectations early, reduces negotiation time, and preserves bargaining positions while parties finalize a full contract. It provides a concise roadmap for procurement, budgeting, and stakeholder alignment and can limit later disputes if key terms are recorded accurately.

Why Use a Heads of Agreement for Project Management

Typical Parties Who Prepare or Sign This Document

The heads of agreement is most often used by owners and firms to align on major project terms before full contract drafting.

  • Project owners and sponsors seeking a concise summary of scope, budget, and milestones before engaging legal counsel.
  • Project management firms or freelance PMs documenting roles, deliverables, and payment structure prior to formal contract drafting.
  • General contractors, consultants, and subcontractors establishing responsibility boundaries and acceptance criteria during pre‑contract negotiations.

Use it when quick alignment is needed or when procurement requires a short, shareable summary of core commercial terms.

Core Elements Every Professional Heads of Agreement Should Include

A clear structure reduces ambiguity. Include definitions, scope, deliverables, timelines, fees, and dispute resolution to make the document useful for transition to a full agreement.

Parties

Identify each contracting party using legal entity names, business addresses, and contact details so signatures and notices are unambiguous and enforceable.

Scope

Describe the project scope at a sufficient level of detail to set expectations, list key deliverables, and reference any attached scope exhibits or schedules.

Timelines

Specify key milestones, an effective date, and any conditional start dates; note acceptance criteria and approval lead times for progress payments.

Commercial Terms

State fees, payment schedule, invoicing procedures, and whether retainers or milestone payments are refundable or credited to a subsequent contract.

Binding Clauses

Clearly mark which provisions are intended to be binding (for example confidentiality, exclusivity, or payment) and which are indicative only to avoid unintended obligations.

Exit and Dispute

Include termination triggers, notice periods, dispute resolution method (mediation/arbitration/litigation) and governing law to limit uncertainty.

Step‑by‑Step: Completing the Heads of Agreement

Follow this sequence to draft, review, and finalize a clear heads of agreement with minimal rework.

  • 03
Circulate for review: Share with stakeholders and legal counsel for comment.
  • 04

Common Mistakes to Avoid When Preparing This Document

  • Leaving binding status unclear—failing to mark which clauses are binding can create unintended legal obligations and later disputes.
  • Vague scope language—omitting acceptances, exclusions, or deliverable details leads to misaligned expectations and delayed approvals.
  • Inconsistent party names—using trade names or abbreviations instead of registered legal names complicates enforceability and payment processing.
  • Missing signature authority—accepting signatures from unauthorized personnel can render the document void or voidable in dispute.

Consequences of Errors or Omissions

Contractual Dispute: Delay or litigation risk
Payment Delay: Invoices disputed or withheld
Compliance Exposure: HIPAA or privacy breach risk
Invalid Execution: Signature challenged legally
Procurement Issues: Procurement or audit failures
Reputational Harm: Client relationship strain
